1. Introduction & Acceptance of Terms

3. Subscription & Account Terms

3.1 Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Subscription Plans

Our products are offered on a subscription basis. By subscribing, you authorize us (or our authorized payment processor) to charge the applicable subscription fee at the frequency stated at checkout (monthly or annually). All subscription fees are stated in the applicable currency and are exclusive of applicable taxes unless stated otherwise.

3.3 Auto-Renewal

3.4 Free Tiers & Trials

Where a free tier or free trial is offered, it is subject to the limitations and conditions specified at the time of sign-up. We reserve the right to modify or discontinue free tiers at any time with reasonable notice.

3.5 Price Changes

We reserve the right to change subscription pricing. We will provide reasonable advance notice of price changes (by email or in-product notification) before the change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. License Grant

Subject to your compliance with these Terms and timely payment of applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the subscribed product solely for your own internal business or personal purposes during the subscription term. This license does not include the right to:

5. Intellectual Property

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT THEY WILL BE CONTINUOUSLY AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIREXACORE TECHNOLOGIES AND ITS FOUNDERS, EMPLOYEES, OR ASSOCIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO VIREXACORE TECHNOLOGIES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless VirexaCore Technologies and its associates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your violation of these Terms or your use of the Services in a manner not authorized herein.

13. Termination

Either party may terminate the subscription at any time. We reserve the right to terminate or suspend your account at our discretion if you breach these Terms. Upon termination, your right to access the Services ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of India.
